To mark the launch of Sovereign Governance Advisory we are pleased to introduce Sovereign Insights, a regular series of complimentary and informative newsletters concerning corporate governance trends and developments. This newsletter will feature research and thought leadership from Australian governance experts, as well as discussions with company directors, institutional shareholders and their governance advisors.

In publishing Sovereign Insights, we seek to relay forward-looking shareholder disclosure and voting sensitivities to ASX boards and senior management, with the goal of underpinning the advancement of Australian corporate governance best practice.

In this Edition

Upon witnessing a contentious Australian annual general meeting season in late 2018, this edition of Sovereign Insights sets the scene for considerations and challenges facing company boards as directors convene to discuss governance practice and disclosure initiatives for the 2020 financial year period.

It was our pleasure to speak with Ms. Sally Evans around her observations in recently transitioning from the executive suite to a portfolio of board seats at Healius, Oceana Healthcare and Rest Super.

The thematic of ESG integration into the investment process and shareholder scrutiny of related company disclosures is well rounded with a contribution by MSCI’s Head of ESG Research in Sydney, Mr. Michael Salvatico.

We also speak with the General Manager of Glass Lewis’ Australian subsidiary, Mr. Daniel Smith, around evolving proxy advisor considerations in response to a variety of 2018 proxy season outcomes.

Sovereign Governance highlights conflicting views that are emerging around executive remuneration structures resulting from APRA’s pending revisions in response to some of the conclusions of the recent Royal Commission into the banking and financial services sector, and how this may impact shareholder expectations across all sectors.
